SETTLEMENT AGREEMENT AND RELEASE

This Settlement Agreement and Release ("Agreement") is entered into as of March 1, 2026, by and between Meridian Property Group LLC ("Plaintiff") and Cornerstone Development Partners Inc. ("Defendant").

WHEREAS, Plaintiff filed a complaint on August 14, 2025 in the Superior Court of Maricopa County, Case No. CV2025-08841, alleging breach of contract and fraud related to a commercial real estate transaction dated January 3, 2025;

WHEREAS, Defendant denies all allegations of wrongdoing;

NOW THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

1. PAYMENT. Defendant shall pay Plaintiff the sum of $485,000 within 30 days of execution. Failure to pay within this period shall accrue interest at 8% per annum.

2. RELEASE. Plaintiff hereby releases Defendant from all claims, known and unknown, arising from the January 3, 2025 transaction.

3. CONFIDENTIALITY. Neither party shall disclose the terms of this Agreement without prior written consent, except as required by law.

4. NON-DISPARAGEMENT. Both parties agree not to make disparaging statements about the other in any public forum.

5. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Arizona.

6. ENTIRE AGREEMENT. This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations.
