Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Opalite Systems LLC (“Opalite Systems,” “we,” “us,” or “our”), you (“Client,” “you”) agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These Terms constitute a legally binding agreement between you and Opalite Systems LLC, an Arizona limited liability company.

2. Description of Services

Opalite Systems LLC provides AI automation services designed to help small and mid-sized businesses streamline operations, capture leads, and deliver better client experiences. Our services include, but are not limited to:

• AI workflow automation and process design
• AI chat and voice integration for client-facing communication
• Automated lead capture and follow-up systems
• Business intelligence dashboards and reporting
• Custom AI software development
• Ongoing optimization and support

Services are offered under the following engagement types:

• First Win — A focused, one-time automation implementation ($997)
• AI Operator — Ongoing monthly automation management ($1,997/mo)
• Custom SaaS — Fully custom AI software built for your business (starting at $15,000)
• Add-on services — Voice AI, additional automations, dashboards, white-labeling, and priority support available at published rates

3. Client Responsibilities

You agree to: provide accurate business information required to deliver services; designate a point of contact for onboarding and communication; not resell, sublicense, or transfer access to our services without written consent; and use our services only for lawful business purposes.

4. SMS / Text Messaging Terms

Program Name: Opalite Systems SMS
Message Frequency: Message frequency varies. You may receive transactional messages related to your AI Opportunity Report, project updates, and follow-up communications.
Message and Data Rates: Message and data rates may apply. Contact your carrier for details.

Opt-Out: You can cancel SMS messages at any time by replying STOP to any message. After opting out, you will receive one final confirmation message and no further texts will be sent.
Help: Reply HELP to any message for support, or contact us at hello@opalitesystems.com.
Supported Carriers: Carriers are not liable for delayed or undelivered messages. Compatible with all major US carriers.

By opting in to SMS on our intake form, you consent to receive text messages from Opalite Systems LLC at the phone number provided. Consent is not a condition of purchase. We do not sell, rent, or share your phone number with third parties for marketing purposes.

5. Payment Terms

Fees are charged as described in your service agreement or published pricing at the time of purchase. Monthly subscriptions are billed in advance. One-time fees are due at time of purchase. Custom project fees are governed by a separate Statement of Work. All fees are non-refundable unless otherwise stated in writing.

6. Intellectual Property

All tools, templates, workflows, and systems created by Opalite Systems remain the intellectual property of Opalite Systems LLC unless explicitly transferred in writing. Custom-built software may be licensed or transferred per the terms of your individual agreement.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared in the course of the engagement. Opalite Systems will not share your business data with third parties except as required to deliver services or comply with law.

8. Limitation of Liability

Opalite Systems LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of our services. Our total liability in any matter shall not exceed the fees paid by you in the three months preceding the claim.

9. Termination

Either party may terminate monthly services with 30 days written notice. Opalite Systems reserves the right to terminate services immediately for breach of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in Maricopa County, Arizona.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
